1. The Service
SimpleWaaS provides a website-as-a-service package, which includes:
- Design and build of a website for your business
- Website hosting and ongoing upkeep
- Search engine optimization (SEO) of your website
- Ongoing content updates as described in Section 4
- Optional management of your Google Business Profile (Section 7)
2. Fees and Billing
- The service fee is $150 per month, billed monthly.
- Payment is made through our payment processor (Square) by recurring automatic charge to your card or bank account on file. You authorize this recurring charge until you cancel.
- Fees are billed in advance each month and are non-refundable for the current period.
- If a payment fails, we may pause or suspend the website until it is resolved.
3. Term and Renewal
The service is month-to-month and renews automatically each month until cancelled by either party under Section 5.
4. Included Updates and Out-of-Scope Work
Included at no extra charge — reasonable content updates such as: business hours, events and specials, menu or price changes, swapping photos, contact information, announcements, and adding social media links.
Not included — full redesigns, additional pages, new features or functionality, e-commerce/online ordering, custom development, logo or branding design, photography, or copywriting beyond minor edits. These are quoted and billed separately and only begin after you approve the quote.
We aim to complete routine update requests within 2–3 business days.
5. Cancellation
- You may cancel at any time with [7 / 30] days' notice; we may cancel with [30] days' notice.
- The website is provided as a monthly service, not a one-time purchase.
- On cancellation, the website is taken offline and the associated domain is released. The site and domain do not transfer to you unless separately agreed in writing (Section 6).
6. Domain and Hosting Ownership
As part of the service, SimpleWaaS registers and manages the domain name and hosting on your behalf, and retains ownership and control of the domain and hosting account while the service is active. If you wish to purchase or transfer the domain to your own ownership, this may be arranged separately for [a one-time fee / by agreement].
7. Google Business Profile
If we manage your Google Business Profile, you agree to grant SimpleWaaS Manager access to your profile. You remain the owner of your profile at all times. We may update business information, post updates, add photos, and respond to reviews on your behalf as part of the service.
8. Your Responsibilities
- Provide accurate, lawful business information and content, and the rights to use any materials you give us.
- Respond to approval and content requests in a timely manner.
- Grant the access we reasonably need (e.g., Google Business Profile) to perform the service.
9. Content and Intellectual Property
- You own your business name, logo, text, and photos that you provide, and you grant us a license to use them to provide the service.
- SimpleWaaS retains ownership of the underlying website code, templates, and systems used to build and host your site. While the service is active, you have a license to use your website.
10. Results and Performance
We use recognized best practices for SEO and site quality. However, search rankings, traffic, leads, and sales depend on factors outside our control (search engines, competition, your market). SimpleWaaS does not guarantee any specific ranking, level of traffic, number of customers, or amount of revenue. The service is provided on a reasonable-efforts basis.
11. Limitation of Liability
To the fullest extent permitted by law, SimpleWaaS is not liable for indirect or consequential losses (such as lost profits or lost business). Our total liability for any claim is limited to the amount you paid us in the [three (3)] months before the claim. We are not responsible for outages or issues caused by third-party providers (e.g., hosting, domain registrar, Google, payment processor).
12. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to provide or receive the service.
13. Changes to These Terms
We may update these Terms with reasonable notice. Continued use of the service after changes take effect means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of New Jersey. Any dispute will be handled in New Jersey, and the parties will first attempt to resolve it in good faith before any formal action.
15. Acceptance
By subscribing and making your first payment, you confirm that you have read, understood, and agree to these Terms of Service.
